Notice of Special General Meeting

In accordance with our current Club Constitution, the Management Committee has called a Special General Meeting of all Club Members to be held at the Clubrooms on September the 20th at 4:30pm.

The purpose of the Meeting is to adopt a new Constitution for the North Adelaide Lacrosse Club.

Special Resolution:

·       That the North Adelaide Lacrosse Club adopt a new club constitution titled ‘North Adelaide Lacrosse Club Constitution 2025’ replacing the current constitution dated 2011.

The existing document was adopted by the Club in 2011. There has been significant change since then and an increased focus on good governance and best practice at all levels of our sport. 

Making this change will ensure that the North Adelaide Lacrosse Club is well placed to continue to grow and meet the needs of its members, stakeholders and friends going forward.

Under the current Club Constitution a quorum of a minimum 20 voting members in attendance is required and a two-thirds majority vote of those in attendance is required to approve this change.

The Committee has determined to adopt the format recommended by the Office for Recreation, Sport and Racing for best practice sporting club Constitutions, this will also closely reflect the Constitution of Lacrosse SA.

This Constitution is also compliant with the Australian Taxation Office guidelines ensuring that the club remains income tax exempt.

A summary of the changes is set out below: 

*Several copies of the proposed new Constitution will be available at the clubrooms for viewing prior to the Special General Meeting. 

1.         NAME OF CLUB - will not change nor will the club colours.

2.         DEFINITIONS AND INTERPRETATION – these have been expanded to be clearer.

3.         OBJECTS OF CLUB – these have also been expanded to allow the club to grow and move forward.           

4.         POWERS OF CLUB – these have been clarified.  

5.         MEMBERSHIP –

·       existing members and life members will retain their current memberships,

·       a new ‘non-voting’ membership category has been added for volunteers and friends,

·       plus the option for a parent of a junior player to apply to become a voting member has been added.  This will expand the number of potential persons eligible to vote and to join the Committee.

            The contract between members and the club has been clarified to ensure that all members are bound by the clubs policies and regulations.

6.         DISCIPLINE AND DISPUTE RESOLUTION – this section is expanded to be clearer and to ensure that all disputes are handled fairly and in accordance with Natural Justice Principles.

7.         MEETINGS – these have been clarified, the position of Club President has been retained.

8.         MANAGEMENT - the size of the Management Committee elected by the members has been reduced to 8 with the option to have up to 2 additional ‘appointed’ Committee members as needed for one year terms.  This allows the Committee to fill identified skills gaps as and when needed.  The intention is for the Management Committee to focus more on the Strategic aspects of running and growing the club.

·       As an adjunct to this it is proposed that the Management Committee will then call for nominations and appoint a ‘Program Committee’ as a sub-committee, which will focus more on the Operational or day to day matters involved in running the club.

            The ‘Program Committee’ will report back to the Management Committee.

9.         RECORDS AND ACCOUNTS – more clarity.         

10.       ADMINISTRATION – more clarity.

 

A number of items previously included in the Constitution have been removed and will be now adopted by the Management Committee as ‘Regulations’.

The rationale being that as regulations these can be amended as/when needed without recourse to the need to change the Constitution each time.

These items include:

·       Eligibility Criteria for Life Membership – however Life Membership can still only be awarded by a vote of the members at the Annual General Meeting.

 

·       Process to apply for Membership and Members subscriptions – can be changed as needed, however voting rights for any new category of Members can still only be awarded by the members via an amendment to the Constitution at the AGM or a Special General Meeting.
